We regularly work with clients, in-house counsel, and outside consultants on the design, documentation, and operation of executive compensation arrangements, including stock options, incentive compensation, supplemental executive retirement plans (SERPs), deferred compensation, and
split-dollar life insurance. We advise clients concerning the compliance of arrangements with the performance-based compensation rules of Section 162(m) of the Internal Revenue Code, the non qualified deferred compensation rules of Section 409A, and the so-called “golden parachute” rules of Section 280G. We also have a significant practice covering the design, implementation, and operation of employee stock ownership plans (ESOPs).
Severance and Retiree Benefits
We help clients design, draft, and implement programs and plans for providing post-termination or retiree benefits, including early retirement incentive and similar plans. We counsel clients on the implications of state and federal law and the advisability and form of claims releases, and we work with accountants and communications consultants concerning the impact of such plans on employers and employees.
We routinely work with in-house counsel and clients on employee benefit issues that arise in mergers, acquisitions, sales, financing, and other business transactions. We also often assist with due diligence investigation of benefit plans, advise regarding integration of employee benefit programs, structure mergers and spin-offs of retirement plans, and counsel concerning notice and distribution issues.
